Disputes in M&A transactions: Causes, prevention, resolution

Monika Hartung and Hubert Bińkiewicz are the authors of the chapter “Shareholder disputes” in a monograph on M&A litigation published by Wolters Kluwer Polska.
The authors analyse the mechanisms used by shareholders to prevent disputes or effectively resolve them. They discuss the provisions of shareholder agreements used in joint ventures and in venture capital deals, with particular attention to conflicts over corporate governance and exiting investments.
The publication (in Polish) diagnoses the sources of conflicts at particular stages of the investment process and identifies tools for mitigating the risk of conflicts arising.
