As a result of the transaction, our client Garia A/S became the second-largest company in Europe producing and selling light commercial vehicles, and expanding its portfolio of electric cars to include larger passenger and luggage models.
Garia has its headquarters in Denmark and a subsidiary in the US. The company manufactures premium golf and recreational vehicles as well as compact electric utility vehicles, focusing on ergonomics and low emissions.
Melex sp. z o.o. is a Polish manufacturer of electric vehicles, including passenger, luggage and special vehicles. The company was established in 1970 and is one of the longest-operating manufacturers of such vehicles in the world.
Our involvement in the case consisted of comprehensive legal advice and support for our client Garia A/S in negotiation, drafting and conclusion of an agreement for acquisition of shares of Melex sp. z o.o., preceded by due diligence of the Polish company. We also drafted management contracts for members of the company’s existing management board.
