We advised Allegro on negotiating the terms of cooperation with PKO BP as part of their new services: Allegro Klik and Allegro Kapitał.

We advised Deutscher Fachverlag GmbH ("DFV"), a German media publishing company, on the sale of 100% of the shares in VFP Communications Ltd. sp. z o.o., a Polish limited liability company operating in the media and marketing sector.

We advised CNC Holding BV, backed by Sun European Partners, LLP, on the acquisition of a mushroom substrate production facility from Kompostpal sp. z o.o. The transaction enlarges the portfolio and production capacity of CNC Holding BV in Poland.

We assisted selected shareholders of Rapiomed Group sp. z o.o. in the sale of a minority stake in the company to an experienced industry investor from the e-commerce market.

We advised on the Polish aspects of the multi-jurisdictional sale of the Proseat Group (a producer of foam elements of automotive seats) to Brose Sitech (a producer of automotive seats). The transaction included targets in Poland, Germany, Czechia, and Spain. We provided comprehensive legal support to the Proseat Group in connection with the direct sale of shares in the Polish company Proseat sp. z o.o. Thanks to the transaction, Brose Sitech will broaden its product portfolio to include subcomponents such as foam parts, headrests, and armrests.

Wardyński & Partners acted as Polish legal counsel to GTCR, a leading private equity firm, on its acquisition of Zentiva, a European generics pharmaceutical company, from Advent. The transaction remains subject to customary regulatory approvals and is expected to close in early 2026.

We provided comprehensive assistance to Inkfish LLC (a marine science organization whose goal is to explore the oceans) on the acquisition of a leading custom luxury yachts manufacturer, Oceanco, including Polish aspects of the transaction and legal due diligence of the Polish company Aluship Technology Sp. z o.o.
