Lars Larsen Group has sold its company Garia A/S, and indirectly its subsidiary Melex sp. z o.o., to Club Car LLC. Our firm was involved in Polish aspects of the transaction and due diligence of the Polish company.
Lars Larsen Group is a capital group from Denmark that owns companies in many industries, including furniture, interior design, restaurants and hotels, and is also an active investor in shares, funds and real estate.
Club Car LLC is owned by Platinum Equity. It has manufactured commercial vehicles for over 60 years and has a worldwide network of more than 350 distributors and dealers.
Garia has its headquarters in Denmark and a subsidiary in the US. The company manufactures premium golf and recreational vehicles as well as compact electric utility vehicles, focusing on ergonomics and low emissions.
Melex sp. z o.o. is a Polish manufacturer of electric vehicles, including passenger, luggage and special vehicles. The company was established in 1970 and is one of the longest-operating manufacturers of such vehicles in the world.
We provided support during the due diligence of the Polish company and assisted in Polish aspects of the transaction. The project was supervised by Kinga Ziemnicka, and other lawyers involved in the project included Małgorzata Piekarska, Karolina Romanowska, Katarzyna Pikora, Marcin Wujczyk, Joanna Prokurat, Łukasz Rutkowski, Michał Wons, Iwona Kasperek, Antoni Bolecki, Wiktor Zborowski, Joanna Krakowiak, Joanna Szafrańska, Aleksandra Nowacka and Jan Kaźmierczak.
The share sale agreement was signed on 9 April 2022, and the transaction closed on 1 June 2022.
