Experience

Below we present examples of our experience in selected categories of matters:

  • We advised:

  • On due diligence and acquisition of four office buildings with a total area of c. 42,000 m2 (net transaction value EUR 88 million)
  • On the acquisition of two companies owning two office complexes in Poland. The transaction was preceded by due diligence of the companies and their properties. The transaction involved cross-border issues, including raising funds on the Singapore Stock Exchange, and the acquisition was carried out through a Luxembourg special-purpose vehicle (net transaction value over EUR 83 million).
  • One of the UK’s largest investment funds in the process of selling part of its real estate portfolio in Poland, including office, retail and warehouse properties in Warsaw and regional cities (net transaction value from c. EUR 3 million to c. EUR 25 million)
  • A Singapore-based investment fund in the acquisition of a pan-European owner, developer and manager of logistics properties, comprising 163 warehouses in 9 jurisdictions
  • On a transaction involving the acquisition of 25 shopping centres in Europe (Czechia, Denmark, Finland, France, Germany, Poland, Sweden, and Switzerland) (transaction value EUR 900 million)
  • An LCD display manufacturer in the sale of a factory in a special economic zone. We negotiated and drafted an agreement on sale and transfer of copyrights and rights and claims under construction contracts (transaction value c. USD 86 million).
  • A Belgium-based investment fund on conclusion of a joint venture agreement with a Polish investor operating on the retail market, and on purchase of retail properties in Poland
  • A client on acquisition of real estate, participating in the due diligence process in order to prepare documentation concerning the property and the company. We drafted a contract for transfer of shares in the company, and then, after the transaction was changed to an asset deal, we took part in negotiation and conclusion of the preliminary agreement for sale of the office property, the escrow agreement, and the final agreement. We also supported the client in preparing a request for an individual tax interpretation.
  • One of the largest American investment funds in legal analysis of agricultural properties, structuring of real estate sales transactions, and negotiation and drafting of sales, lease, and construction contracts.
  • We have conducted many due diligence projects for foreign investment funds.

  • We have conducted many due diligence projects on undeveloped real estate for leading Polish developers.
  • We have conducted numerous due diligence projects for banks in the process of financing or refinancing real estate projects.
  • We have conducted analyses of the legal status of real estate for stores from the construction sector.
  • We advised one of the largest UK investment funds on all legal aspects of its portfolio of office, retail and warehouse space in many locations in Poland. We prepared a full set of lease templates for office, retail and warehouse premises. We negotiated, renegotiated and amended lease agreements as well as represented the client in contacts with lessees in legal matters.
  • We advised one of the largest US investment funds on all legal aspects regarding its portfolio of agricultural properties in many locations in Poland. We prepared a full set of tenancy templates. We negotiated, renegotiated and amended agreements as well as represented the client in contacts with tenants in legal matters.
  • We provide ongoing legal services to owners of office buildings. We prepare templates for leases, property management contracts, service contracts, agreements for access to IT infrastructure, and annexes to agreements, conduct negotiations and resolve disputes.
  • We advise a client on regulation and acquisition of rights to commercial and warehouse properties, negotiations and all ongoing real estate matters.
  • We provided comprehensive advice on concluding leases for premises in shopping centres and on expansion of a shopping centre (among other things, we prepared a contract for the use of common areas between three different shopping centres, advised on the construction process, and renegotiated leases).
  • We represented a leading manufacturer of electrical systems for wind turbines in concluding a number of leases for warehouse and production space.
  • We advised on the expansion of a glass factory. We prepared due diligence reports, structured the transaction, and negotiated and drafted lease, tenancy and easement agreements. We prepared legal opinions on tree felling and construction and operation of the factory, roads and storage yards. We obtained environmental and construction permits (project value over EUR 20 million).
  • We negotiated and drafted a number of contracts for construction works. We also advised on negotiation and drafting of contracts for comprehensive fitout works, equipment supply contracts, contracts with designers, and contracts for reconstruction and equipment.
  • For the purposes of a housing project (construction of 20 single-family houses for sale), we negotiated and drafted contracts for design and construction works. We also provided ongoing advice on the design and construction process, obtaining building and occupancy permits and technical conditions for utility access. We supervised the conclusion of contracts with utility suppliers and took part in coordination meetings at the construction site (real estate project value c. EUR 6 million).
  • We developed a template for a contract for construction of a multi-dwelling residential complex, adapted the template to the construction design, and represented the client in administrative proceedings to obtain building permits.
  • We negotiated and drafted construction contracts for expansion of a production plant and a production hall with warehouses, as well as contracts for design works and design copyright contracts.
  • We negotiated and drafted construction contracts for office, production and warehouse properties, as well as contracts for architectural services and project management.
  • We provided comprehensive advice on a project involving the construction of the largest theme park in Central and Eastern Europe, covering nearly 240 hectares of land near Warsaw.
  • We advised on the implementation of real estate projects, in particular with regard to sales contracts, lease agreements and ongoing legal support for operations of hotel properties. We conducted analyses of the legal status of property, and negotiated and drafted franchise agreements.
  • For years, we have advised on the legal structure of hotel properties. We represented the client in numerous court proceedings, including establishment of the land and mortgage register for real estate, abolition of separate ownership of hotel premises, abolition of co-ownership, and enforcement proceedings. We helped negotiate, draft and conclude contracts, e.g. with financing institutions.
  • We provided comprehensive advice on the selection and implementation of an appropriate legal and tax structure for its operations in Poland, taking into account international planning aspects. We conducted due diligence on the legal status of property and advised on the acquisition and operation of three hotels.
  • We advised on real estate aspects of expansion and development of palliative care centres.

  • A company specialising in the design and construction of steel and glass structures regarding warranty claims filed against the Polish subsidiary, concerning an innovative roof structure with a glass dome at a shopping centre in Warsaw
  • The general contractor for the extension of a large shopping centre in Warsaw in a court dispute with the investor
  • A client concerning compensation for physical defects in construction work in arbitration under UNCITRAL ad hoc rules
  • An architectural studio in proceedings for payment against a developer commissioning design works
  • A client in enforcement proceedings on the basis of a notarial deed of voluntary submission to enforcement against tenants of production and commercial premises
  • A client in administrative proceedings for establishment of construction and development conditions and challenging the adopted local zoning plan.
