We advised in the acquisition of NN Investment Partners group by The Goldman Sachs Group, Inc.
Wardyński & Partners provided advice to The Goldman Sachs Group, Inc. on Polish aspects of a transaction involving the acquisition of NN Investment Partners group from NN Group N.V. The leading legal counsel for the whole transaction was the law firm of Freshfields Bruckhaus Deringer.
The group of companies acquired by the Goldman Sachs Group included one of the largest investment fund companies on the Polish market in terms of assets under management, namely, NN Investment Partners TFI S.A.. Goldman Sachs acquired the NN Investment Partners group for EUR 1.7 billion on 11 April 2022, after obtaining the legally required regulatory approvals and satisfying other conditions precedent before closing the transaction.
The firm’s advice concerned the conditions for the indirect acquisition of control over NN Investment Partners TFI S.A. by Goldman Sachs and included carrying out a regulatory due diligence and representation of the client in proceedings at the Polish Financial Supervision Authority (KNF) in order to obtain a decision of no objection to the transaction. The project was supervised overall by Marcin Pietkiewicz, who, together with Joanna Werner, represented the client in the proceedings at KNF. The project also involved work from Antoni Bolecki, Rafał Kuchta and Andrzej Madała, among others.
