Animex acquires Pupil Foods

We advised Animex Holding sp. z o.o. on its acquisition of 100% of the shares in Pupil Foods sp. z o.o., a leading Polish pet food company. Pupil Foods offers a broad range of products and conducts sales both in Poland and internationally, exporting to 25 countries across 4 continents.
The Animex Group is the largest meat company in the Polish market, specializing in the production of pork and poultry meat as well as meat preserves. Animex owns well-known brands including Morliny, Berlinki, and Krakus. As a result of the transaction Animex will extend its offering by a significant portfolio of pet food products.
Animex is a part of WH Group Limited, listed on the Hong Kong Stock Exchange and recognized as the world’s largest pork producer, with nearly USD 26 billion in annual revenue.
We provided comprehensive legal support to the client, including the legal due diligence of companies within the Pupil Foods group, as well as drafting, negotiating, and executing the transaction documentation.

The preliminary share purchase agreement was signed on 17 April 2025. Completion of the transaction is subject to approval from the Polish competition authority.
