Abacus Medicine Group acquires Delfarma

We advised Abacus Medicine Group, one of Europe’s leading pharmaceutical companies specialising in the parallel distribution of medicines, on its acquisition of Delfarma, one of Poland’s leading parallel importers of medicines.

We provided comprehensive legal support at every stage of the transaction, including the structuring of the transaction, legal due diligence, the preparation and negotiation of the transaction documentation, and advice on the merger control process.

The parties signed the preliminary share purchase agreement on 14 September 2026. Completion of the acquisition remains subject to clearance by the Polish Competition Authority.
