Spider Investments Luxembourg and Transporeon

Wardyński & Partners, in conjunction with Latham & Watkins, advised Spider Investments Luxembourg S.à r.l., a company from the portfolio of the British investment fund HgCapital LLP, in the sale of Transporeon to Trimble, in a transaction valued at EUR 1.88 billion.
In the project, we conducted legal due diligence of the Polish company Transporeon sp. z o.o., primarily in the area of intellectual property, and also provided further legal support on this issue.
Bartosz Kuraś and Izabela Zielińska-Barłożek headed the firm’s work on the project. Other lawyers involved in the project included Monika A. Górska, Marika Grzybowska, Łukasz Wasilenko i Joanna Dudek.
Transporeon provides a cloud-based transportation management platform empowering shippers, forwarders, carriers and retailers to move, manage and monitor freight. Headquartered in Ulm, Germany, it has 18 offices worldwide and employs over 1,400 people in 27 countries.
The transaction will close in the first half of 2023, upon fulfilment of the customary closing conditions, including obtaining regulatory approvals.
