VB Spine acquires Stryker’s spinal implants business in Poland

We advised VB Spine on the acquisition of Stryker’s spinal implants business in Poland, as part of the broader international transaction involving the divestment of Stryker’s spinal implants business to VB Spine.

The Polish transaction involved the demerger of Stryker Polska to carve out its spinal implants business, followed by the acquisition of the carved-out business by VB Spine. We provided comprehensive legal advice throughout the transaction, including on its structuring, the negotiation of transaction documentation, the implementation of the demerger and the completion of the acquisition.

The transaction was completed on 1 October 2026.

Our team was supervised by Jakub Lerner (M&A) and led by Mateusz Próchnicki (M&A). The team also included Maciej Wierzchowiec (M&A), Anna Prigan and Karolina Parcheniak (Public Procurement), Joanna Krakowiak and Karolina Hryckowian (Life Sciences), and Marcin Kulesza (Antitrust).

VB Spine is a privately held spinal implants company established by Viscogliosi Brothers in connection with the acquisition of Stryker’s spinal implants business.

Stryker is a global medical technology company offering innovative products and services across MedSurg, Neurotechnology and Orthopaedics.
