Sale of Sewertronics sp. z o.o. to Halma

Wardyński & Partners, in cooperation with Spanish law firm Gómez-Acebo & Pombo, assisted Sewertronics S.L. in its sale of 100% of the shares of Sewertronics sp. z o.o. to Halma plc for a total of up to EUR 59 million in cash and other consideration.
We advised the Madrid-based Sewertronics S.L. on legal and tax aspects of the transaction, including negotiation and drafting of documentation governed by Spanish, Polish and English law. The firm’s work on the deal was led by partners Anna Dąbrowska and Bartosz Kuraś. Key members of the team were Krzysztof Drzymała, and on tax matters, Michał Nowacki, Jakub Macek and Wojciech Marszałkowski.
Sewertronics sp. z o.o. repairs and rehabilitates wastewater pipelines using an innovative and patented ultraviolet LED technology. It is based in Białobrzegi and has sales and service partners in most major regions.
