Wardyński & Partners advised LyondellBasell Industries N.V. (NYSE: LYB) on the acquisition of the Mepol Group, i.e. the Italian companies Mepol S.r.l. and Polar S.r.l. and the Polish company Industrial Technology Investments Poland sp. z o.o. We advised on Polish aspects of the transaction, including evaluating the transaction structure, conducting legal due diligence on the Polish company and preparing the notification to the Office of Competition and Consumer Protection (UOKiK).
The team was supervised by Krzysztof Libiszewski (partner), and key lawyers were Aleksandra Drożdż (transaction issues), Sandra Derdoń (tax issues), Joanna Dudek (employment issues), Marcin Kulesza (notification to UOKiK) and Marcin Rżysko (real estate issues).

In recent years the group has undertaken various measures to tackle global challenges of plastic waste and decarbonisation, and the Mepol acquisition is part of those efforts.
The Mepol Group manufactures high-quality recycled plastic products at plants in Italy and Poland. For the last two years it has been listed by Forbes magazine as one of Italy’s Most Sustainable Companies.
The transaction is to be finalised after fulfilment of conditions precedent.
