Cromwell and Azora

Wardyński & Partners has advised the Cromwell group in its acquisition of two companies from the Azora group.
Cromwell is an Australian REIT fund present in 15 countries and managing assets worth EUR 7.3 billion.
Azora operates on the real estate market in Europe and the US.
The subject of the transaction was two SPV companies holding office properties in Kraków.
The transaction was preceded by due diligence of the companies and their real estate. The existing bank loans were repaid during the transaction.
We assisted the client in drafting transaction documents, support during negotiations with the sellers and banks, overseeing the process of completing the conditions necessary to close the transaction, and handling post-closing registrations and release of security. The transaction included fundraising on the Singapore stock exchange. The acquisition was carried out via a Luxembourgish SPV.
