AS PILETILEVI GROUP consolidates the ticketing market

Wardyński & Partners advised AS PILETILEVI GROUP in a complex two-action transaction in consolidating companies operating on the ticketing market: eWejściówki.pl sp. z o.o. (owner of the kicket.com website) and BPM Media sp. z o.o. (owner of the biletomat.pl website), and its subsidiaries.
The transaction involved the acquisition by AS PILETILEVI GROUP of a majority stake in eWejściówki.pl sp. z o.o. and, simultaneously, the acquisition by that company of 100% shares in BPM Media sp. z o.o.
We provided comprehensive legal and tax assistance in all aspects of this complex share deal and conducted a legal and tax due diligence of eWejściówki.pl sp. z o.o., BPM Media sp. z o.o. and all its subsidiaries, i.e. Bilety.fm sp. z o.o., Ticketos sp. z o.o. and Time For Friends sp. z o.o. Closing of the transaction occurred on 30 April 2024.
The firm’s legal workstream on the project was led by Adam Pawlisz (M&A partner), while the tax aspects of the transaction were supervised by Michał Nowacki (Tax partner).
