Wardyński & Partners assisted Universal Music Group

The firm advised Universal Music Group (UMG) on the Polish aspects of its sale of Parlophone Label Group to Warner Music Group for £487 million in February 2013.

The sale follows the approval of UMG’s £1.2 billion acquisition of EMI Recorded Music by the European Commission in September 2012.

The Parlophone Label Group is comprised of the Parlophone and Chrysalis labels, as well as EMI’s recorded music operations in Belgium, Czech Republic, Denmark, France, Norway, Poland, Portugal, Spain, Slovakia and Sweden. Parlophone’s artists include Coldplay, David Guetta, Kylie Minogue, Pink Floyd and Tinie Tempah, among many others.

Wardyński & Partners team was led by M&A partner Izabela Zielińska-Barłożek together with intellectual property specialist Marek Szydłowski who worked together with UMG’s UK legal advisors SJ Berwin LLP to advise on all aspects of the transaction in Poland, including detailed due diligence and other matters.

The team also included lawyers from Wardyński & Partners’ Corporate, Real Estate, Employment and Litigation teams.
