Roca and Royo

Roca Group, a world leader in bathroom fixtures, has acquired a majority of the shares in Royo Group, a leader of the European market for bathroom furniture. Thanks to the transaction, which also includes two companies in Poland, Roca Group will strengthen its position as a leader of the bath market. Wardyński & Partners advised Roca in the transaction.

As a result of the transaction, Roca has acquired a majority of the shares in Royo Group International Bathroom S.L., whose subsidiaries include two Polish companies: Elita sp. z o.o. and Maximus Trading sp. z o.o. The Royo family will retain 25% of the firm’s capital.

Roca Group has 81 production centres and operates in 170 countries (including Poland), employing 24,000 people worldwide.

Royo Group has three manufacturing plants, in Spain and Poland, as well as two innovation centres. It is also present in Mexico, the US and India. It produces about a million items of bathroom furniture annually.

Wardyński & Partners advised on the transaction, including representation of Roca in proceedings seeking approval before the Polish Office of Competition and Consumer Protection (UOKiK).

The work of the firm’s lawyers was coordinated by Izabela Zielińska-Barłożek and Katarzyna Wójcik-Bąkowska, while Andrzej Madała and Antoni Bolecki advised on aspects related to the procedure before UOKiK.

The closing was held on 1 March 2021.
