AddLife and Polymed Polska

We have advised AddLife AB in its indirect acquisition of Polymed Polska sp. z o.o., a distributor of medical devices with applications in ophthalmology, laryngology, neurosurgery, plastic surgery and dental surgery. The Polish company was acquired as part of the acquisition by AddLife AB of shares in Vision Ophthalmology Group for EUR 165 million.

AddLife AB is a Swedish company offering products and services in the fields of diagnostics, medical technology, biomedical testing and laboratory analyses. Its shares are listed on Nasdaq Stockholm.

In the transaction, AddLife AB acquired from SSCP Vision Parent S.C.A. shares in Vision Ophthalmology Holding One GmbH, and indirectly its subsidiaries in Germany, Ireland, Poland, Sweden, Switzerland and the UK.

Our firm conducted legal due diligence of the Polish company and advised on Polish aspects of the transaction.

The work of the firm’s lawyers involved in the project was overseen by Krzysztof Libiszewski and Katarzyna Wójcik-Bąkowska, along with Aleksandra Drożdż, and others taking part in the project included Monika A. The share purchase agreement was signed on 8 April 2021, and closing will occur upon fulfilment of suspensive conditions.
